OrbitNex Terms of Service & EULA

This legal agreement governs your access to and use of OrbitNex applications, cloud services, and digital subscriptions. It incorporates our Apple App Store End User License Agreement (EULA) and comprehensive subscription terms in full accordance with Apple App Store Review Guideline 3.1.2.

1. Acceptance of Terms & Corporate Entity

Welcome to OrbitNex. By downloading, installing, accessing, or using any software, mobile application, website, or cloud service provided by OrbitNex (accessible via our official domain orbitnex.net and the Apple App Store), you confirm that you have read, understood, and agree to be bound by these Terms of Service and End User License Agreement (“Terms” or “EULA”).

If you do not agree to these Terms, you must immediately refrain from installing, downloading, or using any OrbitNex applications and promptly delete all copies of our software from your devices.

2. End User License Agreement (EULA) & License Scope

Subject to your strict compliance with these Terms, OrbitNex grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and execute OrbitNex applications solely on Apple-branded products (including iPhone, iPad, Mac, and Apple Watch) that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2.1 License Restrictions (Prohibition of Reverse Engineering)

You expressly agree that you will not, directly or indirectly:

  • Decompile, reverse engineer, disassemble, decrypt, or attempt to derive the source code of any portion of the OrbitNex application or backend services.
  • Modify, adapt, enhance, translate, or create derivative works from the application or its accompanying assets.
  • Rent, lease, lend, sell, sublicense, distribute, or make the application available over a network where it could be used by multiple devices at the same time outside of Apple's Family Sharing parameters.
  • Bypass, circumvent, disable, or tamper with any digital rights management (DRM), cryptographic security mechanisms, or license verification routines implemented in the software.

2.2 Third-Party Beneficiary Status (Apple Inc.)

You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

3. In-App Purchases & Auto-Renewable Subscriptions (Apple Guideline 3.1.2)

OrbitNex may offer premium functional tiers, cloud storage expansion, and advanced features through in-app purchases and auto-renewable subscriptions (“Subscriptions”). The following terms strictly comply with Apple App Store Review Guideline 3.1.2 and provide clear disclosure of billing, renewal, and cancellation processes:

Payment & Billing

Payment will be charged directly to your Apple ID account at the confirmation of purchase through the App Store secure transaction flow.

Auto-Renewal Mechanism

Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing cycle.

Renewal Timing & Amount

Your account will be charged for renewal within 24 hours prior to the end of the current period, and the cost of the renewal will be clearly identified.

Free Trial Forfeiture

Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication or feature, where applicable.

How to Manage & Cancel Your Subscription

You can manage or cancel your subscription at any time after purchase by accessing your Apple ID Account Settings. Follow these steps on iOS or iPadOS:

1. Open the Settings app on your iPhone or iPad.

2. Tap your Name / Apple ID profile at the top.

3. Tap Subscriptions.

4. Select OrbitNex and tap Cancel Subscription.

Note: If you cancel, your subscription will remain active until the end of the current billing cycle. You will not be charged again, and no partial refunds are provided for remainder days.

3.1 Refund Inquiries

Because transactions are processed entirely through Apple's In-App Purchase infrastructure, OrbitNex does not have direct access to your credit card or billing payment data. All refund requests are governed by Apple's standard refund terms. To request a refund, please visit Apple's official portal at reportaproblem.apple.com. For billing assistance, you may also email us at support@orbitnex.net.

4. Acceptable Use Policy & User Conduct

You agree to use OrbitNex software and cloud sync capabilities solely for lawful and intended personal or internal business productivity purposes. You agree not to engage in any of the following prohibited behaviors:

Malicious Cyber Attacks: Attempting to disrupt, compromise, flood, or probe the integrity and security of OrbitNex cloud servers, APIs, network relays, or databases.

Automated Scraping & Bot Abuse: Utilizing automated robots, crawlers, scrapers, or high-frequency polling scripts to extract data, clone content, or overwhelm application endpoints.

Harmful & Unlawful Content: Transmitting, storing, or broadcasting any material that is defamatory, obscene, infringing on third-party privacy, or containing malware, trojans, or ransomware payloads.

Impersonation & Fraud: Misrepresenting your identity, pretending to be an affiliate of OrbitNex, or facilitating phishing and fraudulent digital schemes.

5. Intellectual Property Rights & Ownership

All intellectual property rights in and to OrbitNex applications, services, documentation, trademarks, service marks, trade dress, user interface design, visual styling, software binaries, source algorithms, and the registered domain orbitnex.net are and shall remain the sole and exclusive property of OrbitNex and its licensors.

Except for the explicit and limited software usage license granted under Section 2 of these Terms, no right, title, or interest in or to our intellectual property is transferred or licensed to you. All rights not expressly granted herein are reserved by OrbitNex.

6. Disclaimer of Warranties & Maintenance Obligations

To the maximum extent permitted by applicable law, OrbitNex applications and online services are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranty of any kind. OrbitNex expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.

Apple Maintenance & Support Disclaimer (Standard EULA Clause)

You and OrbitNex acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application. OrbitNex is solely responsible for providing any maintenance, bug fixes, and customer assistance as specified in these Terms or required under applicable statutory laws.

In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application.

7. Limitation of Liability & Product Claims

To the extent not prohibited by law, in no event shall OrbitNex, its developers, or affiliates be liable for personal injury or any incidental, special, indirect, punitive, or consequential damages whatsoever, including without limitation damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use the software.

Product Claims & Intellectual Property Defense

  • Product Claims: OrbitNex, not Apple, is responsible for addressing any claims of the end-user or any third party relating to the Application or the end-user’s possession and/or use of that Application, including: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  • IP Infringement Claims: In the event of any third-party claim that the Application or your possession and use of that Application infringes that third party’s intellectual property rights, OrbitNex, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

8. Termination, Legal Compliance & Governing Law

8.1 Termination

The license granted under this EULA is effective until terminated by you or OrbitNex. Your rights under this license will terminate automatically without notice from OrbitNex if you fail to comply with any term(s) of this agreement. Upon termination of the license, you shall cease all use of the application and destroy all copies, full or partial, of the application.

8.2 Legal Compliance & Export Controls (Apple Standard EULA)

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

8.3 Governing Law & Severability

These Terms and your use of OrbitNex services shall be governed by and construed in accordance with applicable commercial laws, excluding conflicts of law principles. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
